I apologize, but I am at a very introductory level with my understanding of DNN and the .NET framework.  Could you please re-explain in layman's terms...?

The impression I'm getting from your statements is that 3.x modules will run perfectly fine on 4.x systems if they are used "as-is"; however, if they are modified, they will not...?

You pretty much have this correct.  Most 3.x modules will run in a 4.x site without issues.  There are some exceptions to this depending on the methods used by the module.  

If you want to update the module you must either do the editing against a 3.x version of DNN an using Visual Studio 2003 or you must upgrad the module to 4.x and then you can use visual studio 2005.  Depending on the module this can be a somewhat lengthy process.
