The error is telling you that the token "CONTENTPANE:2" wasn't found in your .xml file.

I haven't used "CONTENTPANE:2" before, I always use more descriptive names like TopPane, RightPane, InnerPane, etc. - but you are required to have (only) one named ContentPane.

I did define all the tokens in my skin.xml. I haven't successfully uploaded a skin file. I am LOST. I have been doing some readings on skinning, but it's overwhelming. what should included in a skin file?Since I don't have VS.net 2005 installed, I am using the html way. As I understand, a skin.zip should contain skin.html, skin.css, skin.xml and images. what's the folder structure for a skin or container? Must a skin.zip contain another skin.zip and a container.zip?

It is best to first try and see how the free skins around in the community done in HTML format package the skin and container. You could also just look at how the default skins are done in the portal/_default folder.

Basically when you open your mynewskin.zip inside it you should see skin.css, skin.xml and skin or index.htm some images there too. you can upload this zip to your portal via admin/skins and the portal parses the package into appropriate skin.ascx or index.ascx which will also collect its classes from skin.css.

If you wanted to post part of your html and xml file and/or send it over, we could probably diagnose it pretty quickly if we actually saw it.  Definitely take a look at the default dnn skins, as they are a great reference, however I would take a quick look at it for you if you wanted to send it over (jmcwilliam@flatburger.com).
