This appears to be a caching issue. After upgrading the problem persists for a while and then goes away when the new admin and hosts buttons appear on the control panel.

I saw this error on a brand spanking new install of 5.1.  Here is what I did to fix it.  In the hostSettings table I changed the "SettingValue" column to "N" for "CheckUpgrade."  I then restarted the ApplicationPool and the IIS application for the site.  Message gone!

does your server has connection to the internet, is it allowed to access other sites (check upgrade needs to lookup a web service on dotnetnuke.com)

That worked wonderfully! Mine was a fresh install too. Took your advice and all is well.
