Make sure you are using the correct download package. You should be using the Upgrade package.

Upgrade

Contains only the files needed for upgrading an existing installation (does not include module packages). Download the Upgrade Package if you want to upgrade an existing installation to a newer version.

Hmmm...My UPGRADE package contains the app_data folder.  So, if I simply coyp and paste all the folders and fromthe UPGRADE package directly over my current install, the data folder from the UPGADE pacakge will overwrite the existing folder and the DESKTOPMODULES folder from the UPGRADE package will overwrite my existing DesktopModules folder (thus, I think, wiping out my installed module files).  So, that's why I'm thinking that I'm missing a step and it's not just a copy and paste from the UPGRADE package over my existing install.

Thanks again for any clarification you can provide.

Upgrade package doesn't contain the database file. All other files have to be overwritten during the upgrade, this is by design.

folders will be merged, only files will be overwritten...

Hi:

I figured out what I've been missing.  The instructions said to copy all the files from the UPGRADE package to the existing installation folders.  However, if you do the copy using windows explorer/gui, windows steps all over the existing folders.  But, doing an xcopy /s command from the command window instead does the merge properly. 

Thanks everyone for all the suggestions.  As usual, it's the simple things...

usually windows copy should work as well, if you confirm to overwrite and integrate folders.
