The upgrade wizard didn't do the trick.  It did do some stuff, but I was worse off then before.

I ended up installing VS 2003 along side 2005.  Works like a charm.

The code-behind in Visual Studio 2005 changed quite a bit from Visual Studio 2003. You can still use the old approach and maintain backwards compatibility. Make sure you have the Show All Files option enabled in solution explorer. You’ll be able to expand the .ascx file and see the .ascx.vb file. You can click on it and open it in VS 2005. I had a lot of VS 2003 .ascx files. I typically edit the code-behind files manually.

Yeah, I found that it would work if I manually edited the .vb files, but I guess I am a sucker for intellisense.... call me spoiled.  :)
