I finally figured it  out - sigh.

 

It seems you just cannot to: <%@ Control Language="C#" AutoEventWireup="true" Inherits="DotNetNuke.UI.Skins.Skin" %> in a skin, if it was VB beforehand.  Don't ask me why - I have no clue? 

You must first create the web user control with Visual Studio in C# - and then save as the same name as your skin.  Then copy the markup from your old skin in VB minus the : <%@ Control Language="VB" AutoEventWireup="false" Explicit="True" Inherits="DotNetNuke.UI.Skins.Skin" %> and your golden.

For some reason you cannot just change the Control Language - I dont know why?

But it is possible.
