Worked perfectly in my test environment (Win7HomePremium 64). 

on my production box (2008 R2 server) it fails almost right away with a "Security Exception" error
[SecurityException: Request for the permission of type 'System.Web.AspNetHostingPermission, System, Version=2.0.0.0, Culture=neutral, PublicKeyToken=b77a5c561934e089' failed.]

I can restore my backup files and have no problems, so I don't think it got as far as updating anything in my SQL database.

I'm thinking it is a rights issue on the server.  But where/who?    The following users have full control on the c:\inetpub\wwwroot\IconIntranet directory and up the tree:

IUSER
System
Network
Network Service
IIS_IUsers
IIS APPPOOL

I guess i could restore my backup on my test system, upgrade it, and restore it in production... Seems like the long/wrong way to go - be best to find the problem and resolve it rather than do that every time we need to update the portal.   I'm a programmer, not a network Admin... so any assistance you can provide would be appreciated!    We are not 'live' yet so I have the chance to do what I need to do to fix things now. :)

Try restarting the AppPool and try it again. Or if you can IISRESET.

I rebooted the server over the weekend (after applying 2008 R2 Sp1).   Still no good.    The site is in the InetPub directory of the server, so no UNC - would it make a difference if I moved it outside wwwroot?    I even removed the IIS configuration, removed and recreated the directory and copied the files back in.   Site ran with no problem but I'm still getting the same errors trying to update it:     I'm stumped. :(

With AutoUpgrade set to False I get:
