You do not have to set AutoUpgrade to false.  The only reason why I do it is since there are a lot of hits on our website, I do not want someone to go on my website before me and see the upgrade message.  By setting AutoUpgrade to false, I can control when I make the upgrade by loading the http://yourdomain.xxx/Install/Install.aspx?mode=Install url

Did you copy the MachineKey (validationKey and decryptionKey) from your old web.config file to the new one before making the upgrade?

Yes, I did. However, when I just looked in the web.config it was different. That is weird. I specifically remember copying it from the old file. Anyway, all is well now. Thanks again for your help.

This thread has been very helpful to me so I thank you for posting that step-by-step.

Unfortunately, after following it I'm having what seems to be a fairly serious problem.  I'm getting a "webpage can not be found" error no matter what aspx I try to hit.  The install, default, opensesame, everything.  I can hit the htm files, of course, but all the aspx hits come up with that same error.  Any thoughts?

When you copied the DotNetNuke Upgrade package over your old installation, did you keep the same structure?  Is your IIS virtual directory still pointing to the dnninstallation/website folder?  Do you have the right access for that folder?
