DNN 5 upgrade error

I'm trying to upgrade an istallation from 4.9.0 to 5.1

Followed instructions to the letter but am getting the following error :

Any ideas ?

Compiler Error Message: BC30451: Name 'ComponentFactory' is not declared.

did you make sure to properly extract all files form Upgrade package hierarchically?

Do you have ASP.Net 3.5 installed and which version of AJAX?

Are there customizations in your web.config?

Isn't important to upgrade to latest DNN 4.9.4 version first before going over to DNN 5.1

there had been very few database changes between 4.9.0 and 4.9.4, the upgrade should run smouthly from 4.9.0 as well (though it is more tested from 4.9.4 for sure)

I am running on Rackspace Mosso, cloud servers. It was running 4.9.0 fine.

It has ASP.NET 2.X and I'm not sure what version of Ajax.

The only customizations in the web.config are the impersonation required by MOSSO and the SQL server connection strings.

Any ideas ?
