Not sure what is going on, but here are the steps I performed:
1) copied my 4.9.x site to a new dev enviro (database too)
2) copied the 5.1 Upgrade files to the new dev enviro
3) renamed development.config to web.config
4) replace the connection string and machine key values
5) visited the site.

The site wiz came up with a new install... I guess DNN missed that I have a database. (WHY HAS THIS ALWAYS ELUDED THE CORE TEAM?  It's been a problem from DNN2 i think.)

I thought that maybe it was a new feature to all the installer to add new stuff, but no, DNN 5.1 upgrade will attempt a new database install.

I tried to select legacy and here's what it tried and failed.

UPDATE:
I did forget the InstallationDate from the web.config file... again, it failed.

I searched the entire hard drive, NO SUCH LOG - where is this log file?

anybody have any idea what is going on?  The site we're trying to upgrade is an out-of-the-box 4.9x site with little content.

Description: An unhandled exception occurred during the execution of the current web request. Please review the stack trace for more information about the error and where it originated in the code.

Exception Details: System.UnauthorizedAccessException: Access to the path 'C:\inetpub\ProdCopy\Install\Cleanup\03.00.08.txt' is denied.

ASP.NET is not authorized to access the requested resource. Consider granting access rights to the resource to the ASP.NET request identity. ASP.NET has a base process identity (typically {MACHINE}\ASPNET on IIS 5 or Network Service on IIS 6) that is used if the application is not impersonating. If the application is impersonating via <identity impersonate="true"/>, the identity will be the anonymous user (typically IUSR_MACHINENAME) or the authenticated request user.

To grant ASP.NET access to a file, right-click the file in Explorer, choose "Properties" and select the Security tab. Click "Add" to add the appropriate user or group. Highlight the ASP.NET account, and check the boxes for the desired access.

The yellow error occurred  because the Network Service didn't have full access.  So, I tried the upgrade URL again and got this error.  (doens't suprise me any because the sql script errored.)
The issue I have with this is that DNN will set the installation date even though it fails.. (all versions of DNN seemed to do this... bad install, no donuts.) :-)
