Maybe you have blocked files and don't know it?
In Server 2008 R2 when you copy files over the file system will block the files in case there's executable payloads in the .zip file.
Check the upgrade zip file you got.. right click on it and view the bottom right area of the Properties sheet. is there a button there that says "Unblock"?
In the upgrade package you downloaded was there a web.config file?

If that isn't the issue are you running ASP.NET 3.5 SP1 on the server?
Are you using the same account for AppPool, web folder and SQL server access?
If you are using a web hosting service is there a possibility they have restricted SQL permissions that are causing an issue? You need your SQL account to be dbo.owner on your database.
Is there a web.config file in your web folder now?
