I download upgrade package from dotnetnuke.com, i unzip files. Now, how to upgrade my site, Do i replace file over my site. i wouldn't replace with images, css & ...

Basicly to replace all files with the files on the updgrade package is the correct way.  If you have changed a skin, I preffer to create it as new skin package with a own name, so the skin have it own name a upgrade didn't make any changes to your design.  Also you can use a correct Skin package to install on other portals with the Extension installer.

I run upgrade package and install successfully but Critical Updates Avilable Bottun are yet visible and Menu panel are damage and link(submit, apply and ...) are broken. Why?

which version is shown in Host Settings? if you turned off autoupgrade in your web.config, you might need to call /install/install.aspx?mode=upgrade manually. besides you may need to restart application after the upgrade and clear your local browser cache.

When i restart application error has fired Access to the path 'Path\webspace_00100710\wwwroot\web.config' is denied
