None, I can't even seem to find anyone (professional) to do this for me. I have emailed like 5 people and no response. I tried to envoke the install to and nothing happened at all. In fact by deleting the web.config file and renaming my back-up to web.config my page loaded. It asks a little funny which is why I've been hard pressed to find someone to do the upgrade for me. Please let me know if you come up with a solution for this cause I would indeed like to upgrade, but it just seems as though, as I've said before, DNN isn't as seemless and as easy as the instructions make it out to be.

Best of luck, let me know if you come up with a solution.

I was able to figure out how to correct my error and your's sounds very similar. 
First change Autoupgrade= from "true" to "false" in the existing 3.2.2 web.config then upload back to the server.  Then upload the 3.3.7 dotnetnuke.dll to the sever bin folder, replacing the 3.2.2 donetnuke.dll.  Now go to your website.  It should display the under construction page from the /Install folder.

Now.  What I did for the upgrade was to transfer the MSSQL parameters, validationkey, machine etc. to the new web.config.  I think you already did this properly.  Then change the Autoupgrade= from "true" to "false" in the 3.3.7 web.config file.  Upload all the 3.3.7 files into your existing server folder including the new web.config.

Go to your site with the following url:  www.yourwebsite.com/Install/Install.aspx?mode=Install.  Then hit your site with the usual url.  It may take longer to load, but it should all work.

The key for me was to change the Autoupgrade= to "false" in the new web.config.

Thanks for the info, I will try it today and see if it works. If it does, it's a far cry from the instructions provided by DNN's installation guide. Anyway, I will repost should this be effective. Thanks again.

I did everything and still got the "Server Error" no change. I do have a question though. When the 3.3.7 files are uploaded you are supposed to upload them into the main or root directory, not any specific folders correct? I wasn't sure if these files were supposed to all be put in the "Bin" folder or something.
