I had the same problem when I tried this on my DNN 5.0.1 localhost installation. When I compaired the changes that were made to my localhost web.config file and those made to my live web.config file, I found that a line was missing on the localhost version.

 

    <compilation debug="false" strict="false">

...
      <assemblies>

...
         <add assembly="System.Data.Linq, Version=3.5.0.0, Culture=neutral, PublicKeyToken=B77A5C561934E089" />

After I added this System.Data.Linq line manually, the localhost site showed that it had been successfully updated.

Ah looks like you already had a moderated post before I replied... with a bit of luck this sort issue has effectively already been reported in Gemini (we need a better way of informing people about the lack of any missing libraries).
