are you using a source package? I believe there is an issue compiling it in vs.net 2008 (all source packages need to be compiled in release mode to build their structure, and have a web.config created to do so])

I had to stop the website in IIS and then copy the files, then restart before I tried the upgrade.  

It worked the second time I tried it.

I stopped and restarted the site and recycled the AppPool. I got the same error.
