Currently on 5.4.1 (26)
Wish to upgrade to 5.6.1

The fatal error regarding access being denied to the file \Install\Cleanup\03.00.08.txt is definetly a file system permissions issue and I suspect that the other errors may be as well.

I would suggest rolling back to the pre-upgrade 5.4.1 version by restoring the file system and database which you hopefully created prior to the upgrade. Then, make sure that the ASP.Net worker process account (IIS Identity) is granted full filesystem permission including modify on the site's root folder and that these permissions are allowd to propagate downward through all child folders. Depending on the server version the ASP.Net worker process account could be ASPNET (for IIS 5.1), Network Service (for IIS 6.0 and 7.0), or the default IIS AppPool\DefaultAppPool or a custom IIS Identity account for IIS 7.5.

If your site is on shared hosting, it may be necessary to submit a support request to have these permissions set for you.

Once you are sure the permissions are correctly set, re-try the upgrade.

I had played with security, but indeed this was the issue.

Backups- Yeh! I always recreate enviroment in virtualbox (Virtual Machine) with snapshot
before palying with DNN.

Network Service secuirty added and given full control.
