When you do re-try the upgrade, please:

1. Use DotNetNuke 5.06.01 Upgrade Package which should be available later this week.
2. Un-install the XML module if you are not using it or upgrade the XML module to most recent release BEFORE upgrading DotNetNuke.

Thanks - you must be a mind reader.  I don't use the XML module, so I will uninstall it.
I saw 5.6.1 and was wondering about it - so I will follow your instructions.
I really appreciate the correspndence - It shows you care about your user community.

Bill,
I wanted to let you know I tried the upgrade today.
I uninstalled the XML module, but it left the App_Code\XML files.
When I upgraded to 4.06.01 (238) I got the same error, so I tried adding System. in front of Web.HttpResponse but no luck, so I deleted the download.vb file and reloaded the page and the upgrade took off.  All status was Success.

So we are good to go. 
I really appreciate your help in resolving the problem.

Thanks for your your help.
I had to replace 2 occurrences (on line 34 and 89) of Web.http... with system.web.http... and then the upgrade program started.
