My suggestion would be to turn on Assembly binding logging, so that the great IIS might grant you a slightly more helpful error message.

WRN: Assembly binding logging is turned OFF. To enable assembly bind failure logging, set the registry value
 
 [HKLM\Software\Microsoft\Fusion!EnableLog] (DWORD) to 1.


My other suggestion is to go in this order:

5.04.04 After copying you'll need to update APP_CODE/XML/Download.vb lines 34 and 89 to have
System.Web.HttpRequest and System.Web.HttpContext respectively (adding the System.)
5.05.01 If you're on a port other than 80, BEFORE this upgrade add it to HOST>Portal>Add Alias> myhost:9090 or you'll have to move it to port 80 to change it. 
Also, be sure to uncomment the "usePort" tag in web.xml.
5.06.01  Your Events Module may stop displaying events, DotNetNuke.Events.WebControls.dll may be missing, but you may just need to upgrade it. [topic]
